1. Contract Formation & Quotations
These Terms of Supply constitute the master framework governing all sales of whole spices, ground spices, and select green/roasted coffee beans by Relsh International (operating the brand Fresh Twelve™, registered at Nedumkandam - Thannimoodu Rd, Nedumkandam, Kerala 685552) to domestic and overseas purchasers.
No price quotation issued via electronic mail (relshinternational@gmail.com), WhatsApp desk (+919778164401), or oral negotiation constitutes a binding contract until Relsh International delivers a formal, countersigned Proforma Invoice (PI) or sales contract acknowledging receipt of a valid Purchase Order (PO).
2. Pricing & Incoterms® 2020 Rules
All international commodity prices are quoted in United States Dollars (USD), Euros (EUR), British Pounds (GBP), or Indian Rupees (INR) as explicitly stated on the Proforma Invoice.
- FOB (Free On Board - Cochin Port / Cochin International Airport): Relsh International bears export clearance, inland transport, and loading costs onto the vessel. Ocean/air freight and marine insurance transfer to the buyer upon crossing ship's rail.
- CIF / CFR (Destination Port): Relsh International arranges freight to the designated international container terminal. Risk transfers to the buyer upon loading at Cochin Port.
3. Payment & Settlement Mechanisms
Payment terms are established on each Proforma Invoice based on order volume and buyer creditworthiness:
- Telegraphic Transfer (T/T - Wire): Typically 30% advance deposit upon contract signing to lock harvest batches, with the 70% balance payable upon submission of clean on-board Bill of Lading (B/L) and export documentation copies.
- Irrevocable Documentary Letter of Credit (L/C at sight): Issued by a first-class international prime bank, fully confirmed, allowing partial shipments and transshipment.
- Domestic Trade: Governed by bank wire remittance prior to dispatch from our Nedumkandam, Kerala packing facilities.
4. Quality, Crop Tolerances & Certificate of Analysis
Agricultural commodities exhibit natural seasonal variance. All shipments are graded in accordance with the statutory standards of the Spices Board of India and Codex Alimentarius.
Every export lot is accompanied by a certified Certificate of Analysis (CoA) generated from accredited laboratory testing (moisture content, volatile oil content, bulk density, and microbial clearances). Buyers may arrange independent third-party survey (e.g., SGS, Bureau Veritas) at Cochin Port prior to vessel loading at buyer's cost.
5. Shipping, Title & Risk Transfer
Risk of loss or transit deterioration passes to the purchaser according to the designated Incoterm. Ownership and legal title to the goods transfer only upon full, unconditional realization of payment into Relsh International's commercial bank accounts in India.
Relsh International is not liable for maritime container delays, demurrage, or port congestion at destination ports resulting from local customs audits, clearance delays, or import license deficiencies of the buyer.
6. Inspection, Notification & Claim Windows
The buyer is obligated to inspect delivered consignments immediately upon customs de-vanning at destination. Any claim asserting non-conformity in grade, weight shortfall, or damage must be submitted in writing to relshinternational@gmail.com within 14 calendar days of vessel discharge, supported by:
- Photographic evidence of unopened batch seals and container security seals.
- Survey report executed by an internationally recognized independent marine cargo surveyor.
Natural moisture evaporation during ocean transit up to 1.5% is recognized as standard commodity shrinkage under international spice trade customs and shall not constitute a ground for claims.
7. Force Majeure & Agricultural Yield
Neither party shall be liable for failure or delay in performance caused by conditions beyond reasonable control, including acts of God, extreme monsoons, landslides in the Western Ghats, crop pestilence, export embargoes, war, maritime route closures (e.g., Suez / Red Sea disruptions), dock strikes, or government-mandated export quotas.
8. Governing Law & Dispute Resolution
This agreement, its construction, and any dispute arising out of or related to commercial supply shall be governed exclusively by the substantive laws of the Republic of India, without regard to conflict of law principles.
• The seat and venue of arbitration shall be Kochi (Cochin), Kerala, India.
• The tribunal shall consist of a sole arbitrator appointed by mutual consent.
